1. Taraflar ve kapsam

Bu Gizlilik Sözleşmesi, Upagon Teknoloji ve Danışmanlık A.Ş. ("Upagon") ile www.upagon.com üzerindeki Müşteri Portalı'nı kullanan müşteri yetkilileri ("Kullanıcı") arasında; Pimland aboneliğinin online olarak kurulması, Müşteri Portalı'nın kullanılması ve abonelik bedellerinin kredi kartıyla ödenmesi sırasında elde edilen kişisel verilerin ve ödeme bilgilerinin korunmasını düzenler.

Web sitesinin genel ziyaretçileri için uygulanan kurallar ve çerezler, sitenin alt bilgisindeki Gizlilik & Çerez Politikası'nda yer alır. Pimland platformuna Müşteri tarafından yüklenen verilerin işlenmesi ise Müşteri ile onaylanan KVKK ve Veri İşleme Sözleşmesi'ne tabidir.

3. İşlenen veriler

• Kimlik ve iletişim: Ad, soyad, unvan, kurumsal e-posta adresi, telefon numarası.
• Müşteri ve fatura: Firma unvanı, vergi dairesi ve numarası, fatura adresi, yetkili temsilci ve irtibat kişileri.
• Hesap ve işlem güvenliği: Kullanıcı adı, şifrenin geri döndürülemez özeti (şifrenin kendisi saklanmaz), giriş ve doğrulama kayıtları, IP adresi, tarayıcı bilgisi, sözleşme onay kayıtları.
• Ödeme: iyzico'nun ilettiği kartın son dört hanesi, kart tipi ve markası, kartı çıkaran banka, ödeme tutarı, tarihi ve sonucu.

4. Kart bilgilerinin güvenliği

Kart numarası, son kullanma tarihi ve güvenlik kodu Upagon'a ulaşmaz, Upagon tarafından görülmez ve saklanmaz. Kart bilgileri, Kullanıcı'nın doğrudan iyzico'nun güvenli ödeme sayfasına girdiği bilgilerle, 6493 sayılı Kanun kapsamında lisanslı ödeme kuruluşu iyzi Ödeme ve Elektronik Para Hizmetleri A.Ş. ("iyzico") tarafından işlenir ve Kullanıcı'nın "kartımı sakla" onayıyla iyzico nezdinde PCI-DSS standartlarına uygun olarak saklanır. Upagon yalnızca iyzico'nun verdiği ve kart numarası içermeyen anahtarları şifrelenmiş olarak saklar ve aylık tahsilatı bu anahtarlarla başlatır. İlk ödeme 3D Secure doğrulamasıyla yapılır.

5. İşleme amaçları ve hukuki sebepler

Veriler; sözleşmenin kurulması ve ifası (KVKK m.5/2-c), hukuki yükümlülüklerin yerine getirilmesi (m.5/2-ç) ve Upagon'un meşru menfaati (m.5/2-f) hukuki sebeplerine dayanarak şu amaçlarla işlenir: Müşteri Portalı hesabının oluşturulması ve iki aşamalı doğrulamayla güvenli girişin sağlanması, sözleşmelerin elektronik onayının kaydı ve ispatı, abonelik bedellerinin tahsili ve faturalandırma, ödeme sorunlarının bildirilmesi, destek ve iletişim, yasal kayıt ve saklama yükümlülükleri ile kötüye kullanımın önlenmesi.

6. Aktarım

Veriler satılmaz ve pazarlama amacıyla üçüncü kişilerle paylaşılmaz. Yalnızca yukarıdaki amaçlar için gerekli olduğu ölçüde şu alıcılara aktarılabilir:

• Abonelik bedellerinin tahsili için ödeme kuruluşu iyzico,
• Müşteri Portalı'nın barındırılması ve e-posta bildirimlerinin (doğrulama kodu, makbuz) gönderilmesi için yurt dışında yerleşik olanlar dâhil bulut barındırma ve e-posta iletim hizmeti sağlayıcıları; yurt dışına aktarımlarda KVKK m.9'daki güvencelerden biri sağlanır,
• Mali müşavirlik ve bağımsız denetim hizmeti sağlayıcıları,
• Kanunen yetkili kamu kurum ve kuruluşları.

7. Saklama süresi

Veriler sözleşme ilişkisi boyunca ve sona ermesinden sonra yasal saklama süreleri (vergi kayıtları için 5 yıl, ticari defter ve yazışmalar için 10 yıl) kadar saklanır. Giriş doğrulama kodları kısa süreli (10 dakika) geçerlidir ve kullanıldıktan sonra geçersiz kılınır. Süresi dolan veriler silinir, yok edilir veya anonim hâle getirilir.

8. Güvenlik tedbirleri

• Tüm bağlantılar TLS (HTTPS) ile şifrelenir.
• Portal girişi kullanıcı adı ve şifreye ek olarak e-postaya gönderilen tek kullanımlık kodla yapılır; tekrarlanan hatalı denemelerde hesap geçici olarak kilitlenir.
• Şifreler geri döndürülemez biçimde özetlenerek saklanır; ödeme anahtarları şifrelenmiş olarak tutulur.
• Oturumlar yalnızca bu siteye özel, tarayıcı betiklerinin okuyamadığı güvenli çerezlerle yönetilir.
• Yönetim erişimi yetkili Upagon personeliyle sınırlıdır ve işlemler kayıt altına alınır.

9. Çerezler

Müşteri Portalı yalnızca oturumun sürdürülmesi için zorunlu çerez kullanır; Müşteri Portalı'nda reklam, pazarlama veya analitik çerezi kullanılmaz. Web sitesinin geri kalanındaki çerezler için Gizlilik & Çerez Politikası geçerlidir.

10. İlgili kişinin hakları

KVKK m.11 uyarınca; kişisel verilerinizin işlenip işlenmediğini öğrenme, işlenmişse bilgi talep etme, işlenme amacını ve amaca uygun kullanılıp kullanılmadığını öğrenme, aktarıldığı üçüncü kişileri bilme, eksik veya yanlış işlenmişse düzeltilmesini, şartları oluştuğunda silinmesini veya yok edilmesini isteme, bu işlemlerin aktarılan üçüncü kişilere bildirilmesini isteme, otomatik sistemlerle analiz sonucu aleyhinize bir sonuç çıkmasına itiraz etme ve kanuna aykırı işleme nedeniyle zarara uğramanız hâlinde zararın giderilmesini talep etme haklarına sahipsiniz.

Başvurularınızı kimliğinizi doğrulayan bilgilerle birlikte tech@upagon.com adresine veya yukarıdaki posta adresine iletebilirsiniz. Başvurular en geç 30 (otuz) gün içinde ücretsiz olarak sonuçlandırılır.

11. Değişiklikler

Upagon bu sözleşmeyi mevzuat veya hizmetlerdeki değişikliklere göre güncelleyebilir. Güncel metin bu sayfada yayımlandığı tarihte yürürlüğe girer; esaslı değişiklikler Müşteri Portalı kullanıcılarına e-postayla bildirilir.

1. Parties and scope

This Privacy Agreement between Upagon Teknoloji ve Danışmanlık A.Ş. ("Upagon") and the customer representatives using the Customer Portal at www.upagon.com ("User") governs the protection of personal data and payment information obtained when a Pimland subscription is set up online, when the Customer Portal is used and when subscription fees are paid by credit card.

The rules and cookies that apply to general visitors of the website are set out in the Privacy & Cookie Policy in the site footer. Processing of data uploaded by the Customer to the Pimland platform is governed by the KVKK and Data Processing Agreement approved with the Customer.

3. Data processed

• Identity and contact: name, surname, title, corporate e-mail address, telephone number.
• Customer and billing: company name, tax office and number, billing address, authorised representative and contact persons.
• Account and transaction security: username, an irreversible hash of the password (the password itself is not stored), sign-in and verification records, IP address, browser information, agreement approval records.
• Payment: the last four digits, type and brand of the card and the issuing bank as provided by iyzico, and the payment amount, date and result.

4. Security of card details

The card number, expiry date and security code never reach Upagon and are neither seen nor stored by Upagon. Card details entered by the User directly on iyzico's secure payment page are processed by iyzi Ödeme ve Elektronik Para Hizmetleri A.Ş. ("iyzico"), a payment institution licensed under Law No. 6493, and, with the User's "save my card" consent, are stored by iyzico in compliance with PCI-DSS. Upagon only stores, in encrypted form, the keys issued by iyzico, which do not contain the card number, and uses them to initiate the monthly charge. The first payment is made with 3D Secure verification.

5. Purposes and legal grounds

Data is processed on the legal grounds of concluding and performing the agreement (KVKK Art. 5/2-c), complying with legal obligations (Art. 5/2-ç) and Upagon's legitimate interest (Art. 5/2-f) for the following purposes: creating the Customer Portal account and providing secure sign-in with two-step verification, recording and proving the electronic approval of agreements, collecting subscription fees and invoicing, notifying payment problems, support and communication, legal record-keeping and retention obligations, and preventing misuse.

6. Transfers

Data is not sold and is not shared with third parties for marketing. It may only be transferred to the following recipients to the extent necessary for the purposes above:

• the payment institution iyzico, to collect subscription fees,
• cloud hosting and e-mail delivery providers, including those located abroad, to host the Customer Portal and send e-mail notifications (verification codes, receipts); one of the safeguards in KVKK Art. 9 is provided for transfers abroad,
• accounting and independent audit service providers,
• public authorities legally entitled to request it.

7. Retention

Data is kept for the duration of the contractual relationship and thereafter for the statutory retention periods (5 years for tax records, 10 years for commercial books and correspondence). Sign-in verification codes are valid for a short time (10 minutes) and are invalidated once used. Data whose retention period has expired is deleted, destroyed or anonymised.

8. Security measures

• All connections are encrypted with TLS (HTTPS).
• Portal sign-in requires a one-time code sent by e-mail in addition to the username and password; the account is temporarily locked after repeated failed attempts.
• Passwords are stored as irreversible hashes; payment keys are kept encrypted.
• Sessions are managed only with secure cookies restricted to this site that browser scripts cannot read.
• Administrative access is limited to authorised Upagon personnel and actions are logged.

9. Cookies

The Customer Portal uses only cookies that are strictly necessary to maintain the session; no advertising, marketing or analytics cookies are used in the Customer Portal. The Privacy & Cookie Policy applies to cookies on the rest of the website.

10. Your rights

Under Article 11 of KVKK, you have the right to learn whether your personal data is processed and, if so, to request information about it; to learn the purpose of processing and whether data is used in line with that purpose; to know the third parties to whom it is transferred; to request correction of incomplete or inaccurate data and, where the conditions are met, its deletion or destruction; to request that such actions be notified to the third parties to whom the data was transferred; to object to an outcome against you resulting from analysis exclusively by automated systems; and to claim compensation for damage arising from unlawful processing.

You can send your requests, together with information verifying your identity, to tech@upagon.com or to the postal address above. Requests are concluded free of charge within 30 (thirty) days at the latest.

11. Changes

Upagon may update this agreement in line with changes in legislation or its services. The current text takes effect on the date it is published on this page; material changes are notified to Customer Portal users by e-mail.
